01Acceptance of Terms
These Terms & Conditions govern your use of the CodePair Innovations website and any services you engage us to provide. By accessing this website, requesting a quotation or signing a project agreement with us, you confirm that you have read, understood and agreed to these terms.
If a signed proposal, statement of work or service agreement exists between you and CodePair Innovations, that document takes precedence wherever it conflicts with these terms.
02Services
CodePair Innovations provides software design, development, integration, deployment and support services, including:
- Mobile application development (Android and iOS)
- Web application and website development
- Backend, API and database development
- Custom business software such as ERP, CRM, billing and inventory systems
- Cloud integration, hosting and deployment
- Maintenance, enhancement and technical support
The exact scope, deliverables, technology stack, milestones and timeline for your project are defined in a written proposal. Work outside that agreed scope is treated as a change request and may affect cost and schedule.
03Payments
Unless your written agreement states otherwise:
- Projects are billed against milestones defined in the accepted proposal.
- An advance payment is required before development work begins.
- Invoices are payable within 7 days of the invoice date.
- All quoted amounts are exclusive of applicable taxes, which are charged additionally.
- Third-party costs such as hosting, domains, app store fees, paid APIs and licences are billed at actuals or paid directly by the client.
- Delayed payment beyond 15 days may result in work being paused and may attract a late payment charge as specified in your agreement.
04Intellectual Property
On receipt of full and final payment, ownership of the custom source code, designs and deliverables created specifically for your project transfers to you.
- Until full payment is received, all deliverables remain the property of CodePair Innovations.
- Pre-existing components, internal libraries, frameworks and tools owned by CodePair Innovations remain our property; you receive a perpetual, non-exclusive licence to use them as part of your delivered solution.
- Third-party open-source software included in the project remains governed by its own licence.
- Unless you tell us otherwise in writing, we may reference the project name and a general description in our portfolio without disclosing confidential details.
05Client Responsibilities
To keep your project on schedule, you agree to:
- Provide clear, complete requirements and timely clarification when asked
- Supply content, branding assets, credentials and third-party access we need
- Review deliverables and provide consolidated feedback within agreed review windows
- Nominate a single point of contact authorised to approve decisions
- Ensure that all content and data you provide is lawful and that you have rights to use it
- Make payments on the agreed schedule
Delays caused by pending approvals, missing content or unavailable access may extend the project timeline accordingly.
06Warranty & Support
We provide a warranty period after delivery — typically 30 days unless stated otherwise in your agreement — during which we fix defects in the delivered scope at no additional cost. The warranty does not cover new features, third-party service changes, modifications made by others, or issues caused by environments outside our control. Ongoing maintenance is available under a separate support plan.
07Limitation of Liability
To the maximum extent permitted by law, CodePair Innovations shall not be liable for indirect, incidental, special or consequential damages, including loss of profit, revenue, data, business opportunity or goodwill, arising out of or related to the services.
Our total aggregate liability for any claim arising from a project shall not exceed the total fees actually paid to us for that project. We are not liable for failures caused by third-party platforms, hosting providers, app store policies, network outages, or events beyond our reasonable control.
08Confidentiality
Both parties agree to keep confidential any non-public business, technical or commercial information shared during the engagement, and to use it only for the purpose of delivering the project. This obligation survives the completion or termination of the engagement. We are happy to sign a separate non-disclosure agreement on request.
09Termination
Either party may terminate an engagement by providing written notice.
- On termination, you are liable for all work completed and expenses incurred up to the termination date.
- We will hand over completed deliverables for which payment has been received, together with reasonable transition documentation.
- We may suspend or terminate services if payments remain outstanding, if requirements repeatedly fall outside the agreed scope, or if the engagement involves unlawful use.
10Refund Policy
Because our work is delivered as custom professional services, refunds are handled as follows:
- Advance payments are non-refundable once project work or resource allocation has begun.
- If you cancel before any work commences, the advance is refundable after deducting administrative and third-party costs already incurred.
- If we are unable to deliver an agreed milestone and no acceptable alternative is provided, the amount paid for that specific undelivered milestone will be refunded.
- Completed and accepted milestones are not refundable.
- Approved refunds are processed within 15 working days to the original payment method.
11Privacy
Your use of our website and services is also governed by our Privacy Policy, which explains how we collect, use, store and protect personal information. By accepting these terms you also acknowledge that policy.
12Governing Law
These terms are governed by the laws of India. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Gujarat, India. We encourage both parties to attempt good-faith resolution before commencing formal proceedings.
